Acceptance of Terms

By accessing and using the services provided by Harbour API Works, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms apply to all visitors, users, and others who access or use our services.

Service Description

Harbour API Works provides professional API design, development, testing, and maintenance services. Our services include but are not limited to custom API architecture, automated testing suites, CI/CD integration, and ongoing support.

We combine senior engineering expertise with supervised AI tools to deliver secure, standards-compliant APIs for web, mobile, and enterprise systems.

Service Agreements and Scope

All services are provided under separate service agreements that define the specific scope, deliverables, timelines, and pricing. These terms supplement but do not replace individual service agreements.

Changes to project scope must be agreed upon in writing and may result in additional charges and timeline adjustments.

Payment Terms and Pricing

Payment terms are specified in individual service agreements. Generally, we require payment according to agreed milestones or monthly retainer schedules. All prices are in Euros unless otherwise specified.

Late payments may incur additional charges and may result in suspension of services until payment is received.

Intellectual Property Rights

Upon full payment, clients receive ownership of custom code developed specifically for their project. However, we retain rights to our proprietary methodologies, tools, and general knowledge gained during the engagement.

We may use anonymized project experiences and learnings to improve our services and methodologies for future clients.

Confidentiality and Non-Disclosure

We maintain strict confidentiality regarding all client information, project details, and business data. Our team members are bound by confidentiality agreements and follow industry best practices for data protection.

Clients are expected to provide necessary information for project completion while respecting their own confidentiality obligations to third parties.

Service Level Commitments

We strive to meet all agreed-upon deadlines and quality standards. Specific service level agreements are defined in individual contracts and may include response times, uptime guarantees, and performance metrics.

Force majeure events, client delays in providing required information, or scope changes may affect delivery timelines.

Limitation of Liability

Our liability is limited to the amount paid for the specific service in question. We are not liable for indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

This limitation applies regardless of the legal theory under which damages are claimed.

Warranty and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we make no warranties regarding the performance, reliability, or suitability of delivered solutions for specific purposes.

All services are provided "as is" except for specific warranties outlined in individual service agreements.

Termination of Services

Either party may terminate services with appropriate notice as specified in individual agreements. Upon termination, clients are responsible for payment of all services rendered up to the termination date.

We reserve the right to terminate services immediately for non-payment, breach of terms, or other material violations.

Data Protection and GDPR Compliance

We process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Our privacy practices are detailed in our Privacy Policy.

Clients are responsible for ensuring their own compliance with applicable data protection laws when using our services.

Dispute Resolution

Any disputes arising from these terms or our services will be resolved through good faith negotiations. If resolution cannot be achieved, disputes will be subject to the jurisdiction of Danish courts.

Danish law governs these terms and any related agreements.

Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of our services after changes constitutes acceptance of modified terms.

Individual service agreements may contain additional or different terms that take precedence over these general terms.
